These Terms and Conditions ("Terms") govern your access to and use of the Satellite platform, including our website, applications, and related services (collectively, the "Service"). By accessing or using Satellite, you agree to be bound by these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. About Satellite

Satellite is a business-to-business software platform that enables brands to create, manage, and share Dynamic Sell Sheets and related sales assets, and enables retailers, distributors, brokers, and partners to engage with those materials.

2. Eligibility and Accounts

You must be at least 18 years old to use the Service.

To access certain features, you must create an account and provide accurate, complete, and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activity that occurs under your account

Satellite may suspend or terminate accounts that violate these Terms or pose a risk to the platform.

3. Subscriptions, Fees, and Payments

Certain features of the Service require a paid subscription.

• Fees, billing cycles, and payment terms will be disclosed at the time of purchase or in a separate order form

• Payments are non-refundable except as required by law or expressly stated otherwise

• Satellite may change pricing with reasonable notice

Failure to pay applicable fees may result in suspension or termination of access to paid features.

4. Use of the Service

You agree to use Satellite only for lawful business purposes and in accordance with these Terms.

You may not:

• Reverse engineer, decompile, or attempt to extract source code

• Use the Service to transmit unlawful, infringing, or misleading content

• Interfere with or disrupt the integrity or performance of the Service

5. Content and Data

Your Content

You retain ownership of all content, data, and materials you upload or submit to the Service ("Customer Content").

By using the Service, you grant Satellite a limited, non-exclusive, worldwide license to host, store, process, and display Customer Content solely to provide and improve the Service.

You represent that you have all necessary rights to submit Customer Content and that such content does not violate any laws or third-party rights.

Platform Data

Satellite owns all rights, title, and interest in the Service, including platform software, designs, workflows, analytics, and aggregated or anonymized usage data.

6. Third-Party Services and Integrations

The Service may integrate with or link to third-party services (such as distributors, CRMs, analytics tools, or authentication providers).

Satellite is not responsible for third-party services, their content, or their data practices. Your use of third-party services is governed by their respective terms and policies.

7. Confidentiality

Each party agrees to protect the other party’s confidential information and use it solely for purposes related to the Service.

Confidential information does not include information that:

• Is publicly available without breach

• Was independently developed

• Was rightfully obtained from a third party

8. Intellectual Property

All intellectual property rights in the Service are owned by Satellite or its licensors.

Except for the limited rights expressly granted, no rights are transferred to you under these Terms.

9. Termination

You may stop using the Service at any time.

Satellite may suspend or terminate your access if:

• You violate these Terms

• Your use poses legal, security, or operational risk

• Required by law

Upon termination, your right to access the Service will cease. Certain provisions (including intellectual property, confidentiality, and limitation of liability) will survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SATELLITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SATELLITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

SATELLITE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SATELLITE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Satellite and its officers, directors, employees, and affiliates from any claims, damages, losses, and expenses arising from:

• Your use of the Service

• Your Customer Content

• Your violation of these Terms or applicable law

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in California.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
